Compliance includes not only adherence to the legal standards prescribed by the legislator, such as compliance with data protection or antitrust law, but above all living by ‘internal values’, i.e. self-imposed standards. This includes, for example, avoiding conflicts of interest or working with our business partners in an ethically correct manner.
In addition to the transparency and trust aspect, compliance also aims to prevent measurable damage to the company as a result of non-compliance with legal standards (such as fines or sales levies) as well as immaterial damage (such as damage to image or reputation).
Various legal standards exist in Germany for the general necessity of compliance, including §§ 91.2 and 93 AktG, § 34.1 GenG, § 43 HGB and § 130 OWiG. In addition, there are numerous special laws (for example on labour or antitrust law) as well as voluntary guidelines such as the ‘Corporate Governance Code for Cooperatives’. Ultimately, all of this leads to the general duty of care and legality of the management.
